Terms & Conditions
I N F I N I I T E V1 LLC (DBA INFINIITE GLOBAL)
Effective Date: October 2, 2026 | Last Updated: October 2, 2026
1. Agreement to Terms
These Terms & Conditions (“Terms”) are a legally binding agreement between you (“Client,” “you,” or “your”) and I N F I N I I T E V1 LLC, a Texas limited liability company doing business as INFINIITE GLOBAL (“INFINIITE GLOBAL,” “we,” “us,” or “our”). They govern your use of our website and your online purchase of our IT and digital services (the “Services”).
By creating an account, clicking “I Agree,” placing an order, or paying for Services, you accept these Terms. You agree that this electronic acceptance is legally binding under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Texas Uniform Electronic Transactions Act. If you are accepting on behalf of a business, you confirm you have authority to bind that business. If you do not agree, do not use or purchase the Services.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts. The Services are not directed to children. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at info@infiniitev1.com of any unauthorized use.
3. Our Services
INFINIITE GLOBAL provides IT and digital services, which may include social media marketing, website and software development, mobile application development, IT infrastructure, cloud and technical support, consulting, and project management. The specific scope, deliverables, timelines, and price of each engagement are described in the service listing, quote, proposal, or Statement of Work (“SOW”) accepted at checkout or in writing (each an “Order”).
If an Order conflicts with these Terms, the Order controls for that engagement only. We may update, modify, or discontinue service offerings at any time, but changes will not affect Orders already accepted.
4. Orders and Acceptance
• An Order is an offer by you to purchase Services. It becomes binding when we confirm it by email or begin work.
• Quotes are valid for 30 days unless stated otherwise.
• We may decline any Order, for example due to pricing errors, unavailability, or suspected fraud. If we decline after payment, we will issue a full refund.
• Requests that go beyond the agreed scope are “Change Requests” and may require additional fees and revised timelines, agreed in writing (email is sufficient).
5. Pricing, Payment, and Taxes
All prices are in U.S. dollars unless stated otherwise. Payment is processed by secure, PCI DSS-compliant third-party processors. By providing a payment method, you authorize us and our processor to charge the amounts due.
| Engagement type | Typical payment terms |
|---|---|
| Fixed-price packages | 100% at checkout, unless the listing says otherwise |
| Project-based work (SOW) | Deposit (commonly 50%) to start; balance on milestones or delivery as stated in the SOW |
| Hourly / retainer | Billed in advance or monthly as stated in the Order |
| Subscriptions / managed services | Billed automatically each billing period until canceled (see Section 6) |
Invoices are due on receipt unless the Order states otherwise. Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower, and we may pause work until accounts are current. Prices exclude applicable sales, use, and similar taxes, which will be added where required by law, including Texas law.
6. Subscriptions and Automatic Renewal
If you purchase a recurring Service, we will clearly disclose before purchase the price, billing frequency, renewal terms, and how to cancel, and we will obtain your express affirmative consent to recurring charges, consistent with the Restore Online Shoppers’ Confidence Act (ROSCA), FTC requirements, and applicable state automatic-renewal laws.
Subscriptions renew automatically until canceled. You may cancel at any time through your account (where available) or by emailing info@infiniitev1.com with the subject “Cancel Subscription.” Cancellation takes effect at the end of the current billing period, and you will not be charged again. Where required by law, we will send renewal reminders and notice of any price change before it takes effect.
7. Cancellations and Refunds
Because our Services involve professional time and custom work, refunds depend on how much work has been performed:
| Situation | Refund |
|---|---|
| Canceled before work begins | Full refund, less any non-refundable third-party costs (e.g., licenses, ad spend, domain fees) disclosed in advance |
| Canceled after work begins | Refund of prepaid amounts for work not yet performed; completed milestones and hours worked are non-refundable |
| Advertising spend paid to platforms | Not refundable once committed to the platform |
| Subscription periods already started | Non-refundable, except where required by law |
| We fail to deliver as agreed and cannot cure within a reasonable time | Refund of amounts paid for the undelivered portion |
Request a refund by emailing info@infiniitev1.com within 30 days of the charge. We respond within 10 business days, and approved refunds are issued to the original payment method. Nothing in this section limits any refund right you have under applicable law that cannot be waived.
8. Chargebacks
Please contact us at info@infiniitev1.com before disputing a charge with your bank so we can try to resolve the issue. If you file a chargeback for Services that were properly delivered, we may suspend Services and provide your Order records, communications, and delivery evidence to the payment processor.
9. Client Responsibilities
• Provide accurate information, timely feedback, approvals, content, and access (such as logins, hosting, or platform access) needed to perform the Services.
• Confirm you own or have the rights to all content, trademarks, and materials you give us, and that our use of them as directed will not infringe anyone’s rights.
• Maintain your own backups of data and systems unless backup is part of the Services you purchased.
• Comply with the terms of third-party platforms (e.g., Meta, Google, Apple) on which we work for you.
Delays caused by missing inputs from you extend our timelines accordingly. If a project is inactive for 30 days due to lack of response from you, we may close it and invoice for work completed.
10. Delivery and Acceptance
You will have 7 business days after delivery of each deliverable or milestone to review it and report material, documented nonconformities with the agreed specifications. We will correct confirmed nonconformities at no added cost. A deliverable is deemed accepted if you do not report issues within that period or if you use it in production. The number of included revision rounds is stated in your Order.
11. Intellectual Property and Ownership
Your materials. You keep all rights in content, data, and materials you provide. You grant us a limited license to use them solely to perform the Services.
Deliverables. Upon receipt of full payment, we assign to you all rights in the final custom deliverables created specifically for you under an Order, except as stated below. Until full payment, all rights remain with us.
Our pre-existing materials. We keep ownership of our pre-existing tools, code libraries, frameworks, templates, know-how, and general skills (“Background IP”). To the extent Background IP is included in a deliverable, we grant you a non-exclusive, perpetual, royalty-free license to use it as part of that deliverable.
Third-party and open-source components. Third-party software, stock media, fonts, plugins, and open-source components remain subject to their own licenses, which you agree to follow.
Portfolio. Unless you object in writing, we may list your business name and a general description of the work in our portfolio, without disclosing confidential information.
12. Confidentiality
Each party will keep the other party’s non-public business, technical, and customer information confidential, use it only to perform or receive the Services, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law (with prompt notice where lawful). These obligations last 3 years after the engagement ends, and indefinitely for trade secrets and access credentials.
13. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms. If we process personal data on your behalf as part of the Services, we do so only on your documented instructions, and either party may request a separate data processing agreement.
14. Acceptable Use
You agree not to use the Services or our website to:
• violate any law or regulation, or infringe anyone’s intellectual property or privacy rights;
• send spam or communications that violate the CAN-SPAM Act or TCPA, or run deceptive advertising in violation of FTC rules;
• upload malware, attempt unauthorized access, or disrupt our systems;
• promote illegal, fraudulent, hateful, or sexually exploitative content; or
• resell the Services without our written permission. We may refuse, suspend, or stop work that we reasonably believe violates this section.
15. Third-Party Services and Platforms
Our work may depend on third-party services such as hosting providers, app stores, payment gateways, and social media platforms. We do not control them and are not responsible for their availability, policy changes, account suspensions, algorithm changes, or fees. We do not guarantee approval of apps, ads, or accounts by any platform.
16. No Guarantee of Results
Marketing, advertising, search ranking, and social media outcomes depend on many factors outside our control. Unless an Order expressly states a guaranteed result, we do not guarantee specific followers, leads, sales, rankings, traffic, or revenue.
17. Warranties and Disclaimer
We warrant that we will perform the Services in a professional and workmanlike manner consistent with generally accepted industry standards. Your exclusive remedy for breach of this warranty is re-performance of the nonconforming Services or, if we cannot re-perform within a reasonable time, a refund of the fees paid for them. Warranty claims must be made within 30 days of delivery.
EXCEPT AS EXPRESSLY STATED ABOVE, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.
These limits do not apply to your payment obligations, either party’s indemnification obligations, or liability for fraud, gross negligence, or willful misconduct, or where the law does not allow such limits.
19. Indemnification
You will defend, indemnify, and hold harmless INFINIITE GLOBAL and its members, officers, employees, and contractors from third-party claims, losses, and reasonable attorneys’ fees arising from (a) materials you provide, (b) your breach of these Terms, or (c) your violation of law or third-party rights. We will defend and indemnify you against third-party claims that deliverables we created (excluding your materials, third-party components, and your modifications) infringe a U.S. copyright, subject to prompt notice and reasonable cooperation.
20. Term, Suspension, and Termination
These Terms apply while you use the Services. Either party may terminate an Order for material breach not cured within 15 days of written notice. We may suspend Services immediately for non-payment beyond 15 days, illegal activity, or security risk. On termination, you pay for Services performed through the termination date, and we deliver completed work paid for. Sections that by their nature should survive (including payment, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.
21. Dispute Resolution, Arbitration, and Class Action Waiver
Informal resolution. Before starting any formal proceeding, you agree to email a written description of the dispute to info@infiniitev1.com. Both parties will try in good faith to resolve it within 60 days.
Binding arbitration. If not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, governed by the Federal Arbitration Act. The arbitration will take place in Harris County, Texas, or by video conference, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
Class action waiver. TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Opt-out. You may opt out of this arbitration agreement by emailing info@infiniitev1.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. If this arbitration agreement is found unenforceable, disputes will be resolved in the courts described in Section 22.
22. Governing Law and Venue
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to Section 21, the state and federal courts located in Harris County, Texas have exclusive jurisdiction, and both parties consent to that venue. Nothing in these Terms limits rights that consumers have under laws that cannot be waived, including the Texas Deceptive Trade Practices-Consumer Protection Act where it applies.
23. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, power or internet outages, pandemics, war, government actions, labor disputes, or failures of third-party platforms. Payment obligations for Services already performed are not excused.
24. Electronic Communications and Notices
You consent to receive agreements, invoices, and notices electronically. Notices to us must be sent to info@infiniitev1.com. Notices to you will be sent to the email address on your account and are effective when sent.
25. Export and Sanctions Compliance
You agree not to use the Services in violation of U.S. export control or economic sanctions laws, including on behalf of any person or country subject to U.S. sanctions.
26. General Provisions
• Independent contractors: the parties are independent contractors; nothing creates a partnership, employment, or agency relationship.
• Subcontractors: we may use qualified subcontractors and affiliates, and we remain responsible for their work.
• Non-solicitation: during an engagement and for 12 months after, you will not directly hire our staff or contractors who worked on your project without our written consent.
• Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger or sale of assets.
• Severability and waiver: if any provision is unenforceable, the rest remains in effect; failure to enforce a right is not a waiver.
• Entire agreement: these Terms, the Privacy Policy, and each Order are the entire agreement on their subject and supersede prior discussions.
27. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “Last Updated” date and, for material changes, notify active clients by email. Changes apply to Orders placed after the effective date; accepted Orders remain governed by the Terms in effect when they were placed.
